Trading Terms & Conditions

The Contract

 These Terms & Conditions will apply to the purchase of “Goods” detailed in our agreement between us Green Up Farm Limited (Unit 1, Horeb, Llandysul SA44 4JG) and the “Customer”

These Terms & Conditions will be deemed to have been accepted by the “Customer” from the date of any delivery of the “Goods” and will constitute the entire agreement between the “Customer” and Green Up Farm Limited

Goods

  • The description of the “Goods” is set out in our sales documentation, unless expressly changed in any given quotation
  • We can make changes to the specification of the “Goods” which are required to conform to any applicable safety or other statutory or regulatory requirements

Price

  • The price of the “Goods” is set out in the sales documentation or quotation current at the date of order or such other price as we may agree upon
  • If the cost of the “Goods” to us increase due to any factor beyond our control including but not limited to, supply costs, delivery costs, we can increase the price
  • Any price increase under the clause above will only take place once the “Customer” has been informed
  • You may be entitled to discounts which will be given at our discretion
  • The price is inclusive of fees for packaging and delivery and is inclusive of any applicable VAT and other taxes or which are imposed

Cancellation & Alteration

  • Details of the “Goods” as set out in the sales documentation are subject to alteration
  • The “Customer” will be informed of any changes to the “Goods” set out in the sales documentation
  • Either of us can cancel the order for any reason prior to delivery

Payment

  • We will invoice you for the “Goods” either;
  • Anytime after the delivery of the Goods for one off purchases
  • Monthly invoice issued for “Customer” with a terms account with us
  • You must make payment within 7 days of the date of invoice or unless other terms have been agreed

If you do not make payment within the period set out above, we may suspend any further deliveries until full payment has been made

All payments must be paid by bank transfer in British Pounds

Delivery

  • Prior to first delivery the “Customer” must provide Green Up Farm Limited with the following information;
  • Invoice email address
  • Appropriate contact telephone number
  • List of staff members who are able to place orders

We will arrange for the delivery of the “Goods” to the address specified or to another location by prior agreement

Collection of “Goods” can be made from our premises by prior agreement

Delivery can take place at anytime of the day agreed and must be accepted at any time between 8am and 8pm

Inspection & Acceptance Of Goods

  • The “Customer” must inspect the “Goods” on delivery or collection
  • Acceptance of the “Goods” will be deemed to be agreed once inspection has been completed at the point of delivery
  • If the “Goods” are damaged in any way after the delivery inspection, we will be able to offer a full or partial discount depending on the level of damage and usability

Communication

The “Customer” must provide Green Up Farm Limited 48 hours notice of any cancellation of orders or alternations

Green Up Farm Limited will provide 48 notice and use the same channels to communicate if any orders need to be cancelled or altered

Circumstances Beyond The Control Of Either Party

Neither party shall be liable for any failure or delay in performing their obligations where such failure or delay is resulted from any cause that is beyond the reasonable control of that party
